These Terms of Use govern your use of circlestonecapital.com, our investor portal, and our mobile application (collectively, the "Services"), provided by Circle Stone Capital, LLC ("we," "us"). By using the Services, you agree to these terms.

Not an offer. Nothing on the Services is an offer to sell or a solicitation of an offer to buy any security. Any offering is made solely through definitive offering documents provided to verified accredited investors under Rule 506(c) of Regulation D. All investments involve risk, including loss of principal. Past performance does not guarantee future results.

Forward-looking statements. The Services may contain projections, targets, and other forward-looking statements regarding anticipated performance. These are based on assumptions that may prove incorrect, involve known and unknown risks, and are not guarantees. Actual results may differ materially.

No advice. We do not provide investment, legal, tax, or accounting advice. Consult your own advisors.

Eligibility. You must be at least 18 years old to use the Services. Access to investor portal features is limited to investors and prospective investors who meet applicable eligibility requirements.

Accounts. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at support@circlestonecapital.com of any unauthorized use. We may suspend or terminate accounts at our discretion, including for violation of these terms.

Acceptable use. You agree not to access the Services by automated means, attempt to gain unauthorized access to any system or account, interfere with the operation or security of the Services, or use them for any unlawful purpose.

Content. Content on the Services is owned by Circle Stone Capital, LLC and may not be reproduced without permission. Information may change without notice, and we do not warrant its accuracy or completeness.

Third-party links and services. We are not responsible for the content or practices of external websites or third-party services accessible through the Services.

Disclaimer of warranties. The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of liability. To the maximum extent permitted by law, Circle Stone Capital, LLC and its members, officers, and agents are not liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or lost data, arising from your use of the Services.

Indemnification. You agree to indemnify and hold harmless Circle Stone Capital, LLC from claims and expenses arising from your use of the Services or violation of these terms.

Changes. We may modify these terms or the Services at any time. Continued use after changes take effect constitutes acceptance.

Governing law and disputes. These terms are governed by the laws of the State of Arizona, without regard to conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Pima County, Arizona, and you consent to their jurisdiction.

Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
